The following license agreement applies to all products given away (free) or sold either through digital download, distributor, or authorised retailer and is a contract between the original end-user („Licensee“) and Negativist Audio („Licensor“). This Agreement is applicable for any use, downloading, or purchase of any sound recording and software sample libraries (individually, and collectively, the “Samples”) made from Licensor.

All rights not expressly granted herein are reserved exclusively by Licensor. Please read the terms of the following License Agreement ("Agreement") before using these Samples. By using, downloading, or purchasing any Samples, you are agreeing to be bound by this Agreement. If you do not wish to be bound by this Agreement, do not use, download, or purchase any Samples.

All Samples included remain the property of its manufacturer and are licensed to you as the Licensee, for use subject to the provisions below. The Samples are licensed, not sold, to you.

1. The Licensee may use the Samples in combination with other sounds in music productions (which include soundtracks of such as films, video productions, radio/TV programs or commercials, computer games and multimedia presentations, library music) and other reasonable musical purposes within musical compositions.

2. The Licensee may modify the Samples and may use the Sounds for commercial purposes as part of a musical composition with other sound elements.

3. The Licensee MAY NOT use the Samples in isolation as sound effects or as loops (i.e. a sequence of musical events) or any competitive products that are sold or relicensed to multiple third parties (e.g. virtual instruments, sample packs).

4. A right to use the Samples is granted only to the Licensee and is NOT transferable.

5. This license expressly forbids resale, relicensing or other distribution of the Samples, either as they exist or any modification thereof. You cannot sell, loan, rent, lease, assign, upload to or download from any server, or transfer all or any of the enclosed Samples to another user, or for use in any competitive product.

6. The Samples are licensed ‘as is’ without warranties of any kind. Licensor is not obligated to provide you with any support in connection with the Samples. You agree that Licensor shall have no liability whatsoever for any use you make of the Samples. You shall indemnify and hold harmless Licensor from any third-party claims, damages, liabilities, costs and fees (including reasonable attorney fees) arising from your use of the Samples as well as from your failure to comply with any term of this Agreement. Under no circumstances and under no legal theory will Licensor’s liability hereunder exceed the price paid by you for the Samples.
